China Everbright Bank (Europe) S.A. is a bank headquartered in Luxembourg, incorporated there in 2017 and licensed by the CSSF, and it is the European banking platform of the Everbright group of China. Everbright Bank Europe is the market name of the same entity. This page sets out who the entity is, what it is authorised to do, and how it differs from the group’s other Everbright-named companies.
China Everbright Bank Europe — shortened in the market to Everbright Bank Europe — is the trading name of China Everbright Bank (Europe) S.A., a Luxembourg-incorporated credit institution authorised and supervised by the Commission de Surveillance du Secteur Financier (CSSF). It is the European banking platform of China Everbright Bank Co., Ltd. (Shanghai Stock Exchange: 601818.SS), and it is the entity that contracts, lends, issues and holds client assets across the European Union.
Because it is established inside the EU rather than operating as a representative office, Everbright Bank Europe can act as lender of record, bond underwriter, guarantee issuer and depositary bank under European law — and its instruments are accepted by European counterparties, exchanges and public authorities without a third-country wrapper.
The Everbright name is carried by several distinct legal entities. Corporate clients, auditors and beneficiary banks routinely need to identify which one is their counterparty. This is the entity that signs European facility agreements and issues European instruments.

During the second half of 2025 the Bank began issuing financial guarantees to corporate clients. At 31 December 2025 the guarantees outstanding amounted to EUR 200 million in notional, issued to two corporate clients and maturing in one to five years, disclosed as contingent liabilities in Note 15 of the accounts. Each guarantee is counter-guaranteed in full by China Everbright Bank Co., Ltd., the sole shareholder, under a back-to-back, unconditional and irrevocable counter-guarantee payable on first demand and entered into concurrently with the guarantee itself, so the Bank’s net exposure is nil. The guarantees are off-balance sheet commitments: they change neither total assets nor liabilities, and the expected credit loss held against them is EUR 9,400 (Notes 10.1, 12.3, 15 and 20.4).
China Everbright Bank Co., Ltd., the Bank’s sole shareholder, integrates the Bank’s technical reserve with an annual allocation of EUR 50 million, earmarked for the bond and guarantee business. That allocation sits alongside the €20 million of fully paid-up subscribed capital shown in the record above, and, together with the counter-guarantee arrangement described above, it is what underwrites the Bank’s capacity to issue guarantees, standby letters of credit and bond-related commitments from Luxembourg.
